Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") are a binding agreement between you ("Customer", "you") and Shaurya Pal, operating as a sole proprietorship doing business as CloseLoop ("CloseLoop", "we", "us"). By creating a CloseLoop deployment, connecting an Instagram account, or otherwise using the service, you agree to these Terms. If you don't agree, don't use CloseLoop.

2. What CloseLoop is

CloseLoop is a software service that connects to your Instagram Business account via Meta's Instagram API and automates direct-message conversations, comment replies, follow-up sequences, and appointment booking through Calendly, using AI to draft or send replies on your behalf according to scripts and settings you configure.

3. Eligibility

You must be at least 18 years old, have the legal authority to connect the Instagram Business account you're using with CloseLoop, and agree to comply with the Instagram Platform Policy, Meta Platform Terms, and Instagram's own Terms of Use in connection with that use. You're responsible for having a lawful basis to message the people you contact through CloseLoop.

4. Account & access

Each CloseLoop deployment is protected by a single shared dashboard password rather than individual logins. You're responsible for keeping that password confidential and for all activity that happens through your dashboard, including messages the AI sends on your behalf.

5. Fees & payment

CloseLoop is billed on a recurring monthly subscription at the plan tier you select (currently Starter, Growth, or Unlimited, as published on closeloopdm.com). AI usage costs (Anthropic Claude API tokens) may be billed separately, in addition to the subscription fee, based on actual usage. Prices are subject to change on reasonable notice; continued use after a price change takes effect means you accept the new price.

6. Cancellation & refunds

You may cancel your subscription at any time. Cancellation stops future billing but takes effect at the end of your current billing cycle; you keep access until then. Fees already paid are non-refundable, including for a partial billing period.

7. Your responsibilities

  • You are the data controller for the Leads you message through CloseLoop (see the Privacy Policy, Section 2) and are responsible for having appropriate consent or legitimate basis to contact them, and for complying with applicable messaging, marketing, and data protection laws.
  • You're responsible for the content of your prompts, scripts, and voice notes, including their accuracy and legality.
  • You're responsible for the accuracy of information you enter (Calendly links, lead contact details, pricing quoted by the bot, etc.).
  • You must comply with the Instagram Platform Policy and Meta Platform Terms for any use of your connected account through CloseLoop.

8. Acceptable use

You agree not to use CloseLoop to send unlawful, harassing, deceptive, or unsolicited spam messages, to message anyone under 18, to impersonate another person or business without authorization, or in any way that violates Meta's or Instagram's policies or applicable law. We may suspend or terminate access for violations of this section.

9. Third-party services

CloseLoop depends on third-party platforms, including Meta/Instagram, Anthropic, Calendly, Groq, and Resend. We aren't responsible for outages, API changes, or policy changes made by these providers, and service availability may be affected by them. Your use of the underlying Instagram API is also governed by Meta's own terms.

10. Intellectual property

CloseLoop retains all rights to the underlying software, platform, and branding. You retain all rights to your own content: your scripts, prompts, uploaded voice notes, and the data belonging to your Leads.

11. Disclaimer of warranties

CloseLoop is provided "as is" and "as available." Marketing statements about typical results (for example, booking rates or cost comparisons) are illustrative, not a guarantee of any specific outcome for your business. We don't warrant that the service will be uninterrupted, error-free, or that AI-generated replies will always be accurate or appropriate; you're responsible for reviewing and supervising the bot's conversations.

12. Limitation of liability

To the maximum extent permitted by law, CloseLoop's total liability for any claim arising from these Terms or your use of the service is limited to the amount you paid us in the three months before the claim arose. We aren't liable for indirect, incidental, special, or consequential damages, including lost profits or lost leads.

13. Indemnification

You agree to indemnify and hold CloseLoop harmless from any claim arising from your misuse of the service, your messaging content, your violation of these Terms, or your violation of applicable law or Meta's platform policies.

14. Termination

We may suspend or terminate your access for non-payment, violation of these Terms, or conduct that puts our Meta App or other Customers at risk. You may stop using CloseLoop at any time by cancelling your subscription.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute will first be addressed through good-faith informal negotiation; if unresolved, it will be handled in a court of competent jurisdiction in Delaware.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date at the top of this page. Continued use after changes take effect means you accept the updated Terms.
